These Terms & Conditions govern your access to and use of the ComplySync platform and website at complysync.co.uk. By registering for an account or using the service, you agree to be bound by these terms. Please read them carefully. If you do not agree, you must not use ComplySync.

1. Definitions

In these Terms & Conditions:

  • "ComplySync", "we", "us", "our" refers to the company operating the ComplySync platform.
  • "Service" means the ComplySync web-based subcontractor compliance management platform.
  • "User", "you", "your" refers to the individual or organisation accessing or using the Service.
  • "Subcontractor Data" means any documents, certificates, records or information uploaded or stored within the platform.
  • "Subscription" refers to the monthly or annual plan you purchase to access the Service.

2. Eligibility and Account Registration

To use ComplySync, you must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your organisation. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@complysync.co.uk if you suspect any unauthorised access to your account.

3. Subscription Plans and Payment

ComplySync is offered on a monthly subscription basis. Current pricing is as follows:

  • Starter: £30/month — up to 10 subcontractors
  • Growth: £60/month — up to 30 subcontractors
  • Professional: £90/month — up to 60 subcontractors
  • Custom pricing is available for larger organisations. EU clients may be billed in EUR.

Subscriptions renew automatically on a monthly basis unless cancelled before the renewal date. Payment is processed via our payment provider (Stripe) and is subject to their terms. All fees are non-refundable except where required by applicable law. Prices are exclusive of VAT where applicable.

4. Free Trial

We offer a 7-day free trial to new users. No payment details are required to begin the trial. At the end of the trial period, continued access requires the selection of a paid subscription plan. We reserve the right to withdraw or modify the trial offer at any time.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Upload false, misleading or fraudulent subcontractor documents or records
  • Attempt to gain unauthorised access to any part of the platform or another user's account
  • Use the Service in any way that could damage, disable, overburden or impair its operation
  • Reproduce, distribute, or resell the Service without our prior written consent
  • Use automated tools to scrape, extract or harvest data from the platform
  • Violate any applicable UK, EU or local laws or regulations in connection with your use

6. Intellectual Property

All content, design, software, trademarks and materials comprising the ComplySync platform are the exclusive property of ComplySync or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right or licence to use our intellectual property other than as strictly necessary to use the Service as intended.

You retain ownership of all Subcontractor Data you upload. By uploading data, you grant ComplySync a limited, non-exclusive licence to store and process that data solely for the purpose of delivering the Service to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with the UK GDPR and EU GDPR. You are responsible for ensuring that you have the necessary legal basis to upload and process any personal data relating to your subcontractors within the platform.

8. Disclaimer of Warranties

ComplySync provides the Service on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free or entirely secure. While we work to ensure the accuracy and reliability of the platform, we make no guarantees that it will meet all of your compliance requirements under any specific regulatory framework. You are responsible for verifying the adequacy of the Service for your particular legal and operational needs.

9. Limitation of Liability

To the fullest extent permitted by law, ComplySync shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to your use of the Service. Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to ComplySync in the three months preceding the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Cancellation and Termination

You may cancel your subscription at any time by contacting us at info@complysync.co.uk. Cancellation takes effect at the end of your current billing period. We reserve the right to suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or engage in any conduct that we reasonably consider harmful to the Service or other users. Upon termination, your access to the platform will cease and we will handle your data in accordance with our Privacy Policy.

11. Changes to These Terms

We may update these Terms & Conditions from time to time. Where changes are material, we will notify active account holders by email at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are located in the EU, in which case mandatory local consumer protection laws may also apply.
